• Legally supporting Oracle Cloud Infrastructure (OCI) line of business for extending Oracle's data centre and networking capabilities;
• Review and negotiate various types of agreements as part of the expansion of OCI network:
o Colocation Master Agreements (data centre colocation space licenses); Networking Master Agreements for fiber connectivity services (Dark Fiber, Wavelength, IP Transit and others);
o Facilities Master Agreements (FMAs) and Statements of Work (SOWs) for relevant construction work adjacent to data centre build and fit-out;
o Supplier Business Associate Agreements - required in order to maintain Oracle's compliance with HIPAA requirements;
o Service Orders.
• Negotiating service agreements with Suppliers under multiple jurisdictions: mainly supporting EMEA region, but also AMER and APAC contract negotiations;
• Experienced with reviewing/negotiating non-standard terms on supplier templates.
• Draft and review of contracts for on-premise, Cloud-based or true SaaS solutions: Master Service Agreements, Subscriptions, Perpetual License and Maintenance, Trial agreements, Professional Services agreements (including consultancy work qualifying as BPO), NDAs, Data Processing Agreements, Material Outsourcing agreements (for EBA compliance) etc.;
• Experienced with working on agreements based on various European jurisdictions (e.g., Irish, German, Swiss, Romanian and UK law);
• Supporting the internal R&D functions: review of source-code escrow agreements, licensing software dependencies with third parties, legal review of software documentation needed for module releases;
• Managing the company's IP trademark portfolio and liaising with external counsel regarding mitigating risks and IPR conflicts;
• Review of supplier contracts (e.g. review of office lease agreements, contracts with healthcare suppliers, venue leases, sponsorship partner agreements etc.);
• Experienced with template work (updating contracts based on client feedback, maintaining agreements based on regulatory updates impacting client base, keeping templates attuned to the requirements from subcontractors and data centres etc.);
• LegalOps work: Maintaining legal playbooks for aiding the commercial teams in having a hands-on approach with contracts; Maintaining intracompany newsletters; Maintaining Information Governance processes, Project Management for efficient workload allocation.
• Drafting legal documents specific to intellectual property matters (e.g. trademark registration requests, licensing agreements, transfer agreements over IP rights, trademark co-existence settlements) and other litigation documents (e.g. summons, appeals, statements of defense, preliminary injunction summons, affidavits);
• Drafting oppositions towards trademark registrations (national, European and international trademark registrations);
• Legal research regarding relevant IP case law, monitoring European and international portals for legal precedents;
• Overseeing cease and desist proceedings regarding copyright infringement cases;
• Marketing research for clients, drafting trademark search reports and legal opinions upon the chances of trademark registrations, offering feedback on the use of commercial signs from a legal competition perspective.
• Drafting legal documents specific to the real estate area of expertise (e.g. preliminary sale-purchase agreements, real estate and property history due diligence reports, Powers of Attorney and notices to public institutions).
